Terms of Service

These terms govern your use of exactbench.com and the exactbench product. By using the service you agree to them.

1. Who you're contracting with

"exactbench" is operated by Niall Dunne, sole trader, based in Sweden. In these terms, "we", "us", "exactbench" mean Niall Dunne trading as exactbench. "You" means the individual or organisation using the service.

2. The service

exactbench is a software product that ingests technical documents you upload and returns grounded, citation-backed answers to questions you ask about those documents. The service is delivered via the website exactbench.com and the product app.

We may add, change, or remove features. Material changes that reduce paid functionality will be communicated to active paying customers in advance.

5. Your content

You retain all rights to documents you upload ("Customer Content"). You grant exactbench a limited licence to process, store, and transmit your Customer Content for the sole purpose of providing the service to you. We do not use your content to train models. We do not share it with third parties except the subprocessors listed on our subprocessors page, who process it strictly on our behalf under written DPAs.

6. AI output

Answers generated by exactbench are produced by a large language model combined with retrieval from your uploaded documents. AI-generated output can be incomplete, inaccurate, or misleading. You are responsible for verifying any answer before relying on it for safety-critical, operational, regulatory, financial, medical, or life-safety decisions. exactbench is a productivity tool, not a substitute for qualified human judgement.

8. Service availability

We aim for high availability but the free pilot tier and Service tier are provided "as available" without a contractual uptime SLA. Enterprise customers receive a written SLA (target 99.5% monthly uptime, 24-hour response on critical issues) as part of their order form.

9. Disclaimers

The service is provided "as is" and "as available". To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, accuracy of AI output, and non-infringement.

10. Limitation of liability

To the maximum extent permitted by law, exactbench's total aggregate liability arising out of or related to these terms or the service is limited to the amount you paid us in the twelve months preceding the event giving rise to liability, or €500, whichever is greater.

In no event will exactbench be liable for indirect, incidental, special, consequential, punitive, or exemplary damages, lost profits, lost revenue, lost data, or business interruption, even if advised of the possibility.

Nothing in these terms excludes liability that cannot be excluded under applicable law (e.g., gross negligence, wilful misconduct, or death/personal injury caused by negligence).

11. Indemnity

You agree to indemnify exactbench against claims by third parties arising from your breach of these terms, your unlawful use of the service, or your upload of content you didn't have the right to use.

12. Intellectual property

exactbench, the wordmark, the favicon, the website design, the product code, and the documentation are owned by Niall Dunne. You receive a non-exclusive, non-transferable right to use the service for your internal business purposes during your subscription. No rights are granted by implication.

For customers in the EU/EEA or where required by law, the Data Processing Agreement forms part of these terms when you upload personal data through the service.

15. Changes to these terms

We may update these terms. For material changes that affect paying customers, we will give 30 days' notice by email. Continued use of the service after the effective date constitutes acceptance.

16. Governing law and disputes

These terms are governed by the laws of Sweden, without regard to conflict-of-law principles. Disputes will be submitted to the competent Swedish courts. Mandatory consumer protection rights in your country of residence are not affected.
